End User License Agreement

This is a template, not a substitute for legal review. It's built to match how QuietAD actually works (organization-wide perpetual/trial licenses, offline signed activation), but the sections marked [bracketed] need your input, and a lawyer should review the whole thing before you rely on it, especially the governing law and liability sections.

This End User License Agreement ("Agreement") is between [AD Tool team / your registered business name] ("Licensor", "we", "us") and the organization that has purchased or activated a license for QuietAD ("Licensee", "you"). By installing, activating, or using QuietAD, you agree to be bound by this Agreement.

1. Grant of License

Subject to payment of the applicable license fee and compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable license to install and use QuietAD on any number of computers within Licensee's own organization, for Licensee's internal business purposes only.

Perpetual License: valid indefinitely from the date of activation, subject to the terms of this Agreement.
Trial License: valid for 14 days from the date of activation, after which the software will cease to function unless a Perpetual License is purchased.

2. Restrictions

Licensee shall not:

Sell, rent, lease, sublicense, or redistribute QuietAD to any third party outside Licensee's organization;
Reverse engineer, decompile, or disassemble QuietAD, except to the extent applicable law expressly permits this despite the limitation;
Remove or alter any copyright, trademark, or proprietary notices;
Use QuietAD to build a competing product;
Share, transfer, or publish the license file (.lic) issued to Licensee outside Licensee's organization.

3. Ownership

QuietAD, including all associated source code, documentation, and branding, is and remains the property of Licensor. This Agreement grants Licensee a license to use QuietAD; it does not transfer any ownership rights.

4. Third-Party Components

QuietAD incorporates open-source software components, including ldap3 (licensed under LGPLv3) and cryptography (licensed under Apache License 2.0 / BSD). Use of these components is subject to their respective open-source licenses. A copy of the LGPLv3 license text is included with your QuietAD installation. Licensee's rights under those licenses (for example, the right to relink against a modified version of an LGPL-licensed component) are not restricted by this Agreement.

5. Fees and Payment

License fees are as displayed on the QuietAD website at the time of purchase. All fees are due in full at the time of purchase. See our Refund Policy for details on refund eligibility.

6. Termination

This Agreement terminates automatically if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of QuietAD and destroy all copies in its possession. Sections 3, 4, 7, and 8 survive termination.

7. Disclaimer of Warranty

QUIETAD IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Licensor does not warrant that QuietAD will be uninterrupted, error-free, or that any defects will be corrected.

QuietAD is an administrative tool that performs directive changes to Active Directory (moving, enabling/disabling, and deleting objects). Licensee is solely responsible for verifying changes before applying them, maintaining appropriate backups, and restricting access to QuietAD to trained administrators.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF QUIETAD. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT LICENSEE ACTUALLY PAID FOR THE LICENSE.

9. Governing Law

This Agreement is governed by the laws of [your jurisdiction — e.g. the State of Qatar, or wherever your business is legally registered], without regard to conflict-of-law principles.

10. Changes to This Agreement

We may update this Agreement from time to time. Continued use of QuietAD after changes take effect constitutes acceptance of the revised Agreement. Material changes will be reflected in the "Last updated" date above.
